Corporate Tax Registration Deadline in the UAE: The 3-Month Rule and the EmaraTax Process

New UAE companies must register for corporate tax within 3 months or face an AED 10,000 fine. Step-by-step EmaraTax process, documents and fixes from Amary.

Corporate tax registration deadline in the UAE: hourglass, EmaraTax form with a checkmark and the 3-month rule

Every company incorporated in the UAE since 1 March 2024 has three months from its incorporation date to submit a corporate tax registration application, under FTA Decision No. 3 of 2024. Miss the window and the penalty is automatic: AED 10,000, whether your company made a dirham of profit or not.

It is the first tax deadline in the life of a UAE company, and the one international founders miss most often — usually because the setup agent who sold them the licence never mentioned it. Roughly one in three files we take over at Amary arrives with this fine already on the meter.

Here is the exact deadline, the EmaraTax procedure screen by screen, the documents to prepare, and the mistakes that get applications bounced.

Who must register — and why "0%" exempts you from nothing

The rule is blunt: every juridical person resident in the UAE — mainland or free zone, trading or dormant — must register for corporate tax and obtain a Tax Registration Number (TRN).

The three myths we correct weekly:

  • "My profit is under AED 375,000, so the 0% rate means I'm out of scope." Wrong. The 0% band is a rate on your first slice of taxable profit. Registration and an annual return remain mandatory.
  • "Free zone companies are exempt." Wrong. Qualifying Free Zone Person status, where it applies, gives a 0% rate on qualifying income — after registration and filing, never instead of them.
  • "The company hasn't started trading yet." Irrelevant. The clock runs from incorporation, not from your first invoice.

For reference: corporate tax is 0% up to AED 375,000 of taxable profit and 9% above. Multinational groups with consolidated revenue of €750M or more also fall under the 15% DMTT since January 2025 — not your problem as an SME founder, but useful context when advisers throw "Pillar Two" at you.

The timeline: three months, no extensions

Source: FTA — Corporate Tax Registration.

A practical point that saves clients real stress: the deadline is judged on the date you submit the application, not the date the FTA approves it. File a complete application on time and you are covered, even if the TRN lands six weeks later.

The EmaraTax process, step by step

Budget 45 minutes for a well-prepared file, then up to 20 business days of FTA processing — longer if the authority requests more information, because each resubmission restarts a fresh 20-business-day cycle.

  1. Create the EmaraTax account at eservices.tax.gov.ae, via UAE Pass or email. Use a generic company address (accounts@…), not the founder's personal inbox that goes quiet every holiday.
  2. Create the Taxable Person under the account. One account can hold several entities if you run more than one company.
  3. Open the Corporate Tax Registration application and fill in: legal form, licence number and issue date, issuing authority (IFZA, Meydan, DED…), declared activities.
  4. Declare shareholders and signatories: passport and Emirates ID for each owner at 25% or more, shareholding percentages, and an authorised signatory backed by the Memorandum of Association or a power of attorney.
  5. Upload the documents: valid trade licence, MoA, passports/Emirates IDs, proof of company address.
  6. Choose the tax period. Calendar year by default. If your licence was issued mid-year, your first period may be longer or shorter — this screen silently sets your first filing deadline, so do not rush it.
  7. Submit and archive the acknowledgement. The time-stamped submission PDF is your proof of meeting the deadline. We file it in every client's permanent records.

Two comfort notes for founders doing this solo. There is no government fee for corporate tax registration itself — anyone quoting you a "mandatory FTA charge" is padding an invoice. And EmaraTax lets you save a draft mid-application, so gather the shareholder documents before you start rather than abandoning the form halfway through when a passport scan turns out to be missing.

The five rejection reasons we actually see

  1. Trade licence expired at the time of filing — renew first, apply second.
  2. Name mismatch between the licence and the application (abbreviations, a missing "FZCO").
  3. Expired Emirates ID for the signatory, or a signatory not named in the MoA.
  4. Wrong entity type selected (a branch filed as a company, or the reverse).
  5. Missing proof of authority when the person filing is not the statutory manager.

Every rejection sends you to the back of the queue. Three weeks from your three-month deadline, one bounce is enough to tip you into the fine.

Keeping the registration accurate: the follow-up duty nobody mentions

Registration is not a one-off event but a record you are responsible for maintaining. Any change to the information on file — trade name, licence renewal with amended activities, new shareholders crossing the 25% line, a change of address or legal form — must be notified to the FTA through EmaraTax within 20 business days. Failing to update the record carries its own fixed penalties under Cabinet Decision No. 75 of 2023, separate from anything to do with filing or payment.

In practice this bites in two scenarios. First, the pivot: a company that started as a consultancy adds a trading activity at renewal, and nobody mirrors the change on EmaraTax. Second, the partial exit: a co-founder sells down from 40% to 15%, dropping below the declared threshold, and the shareholder section quietly goes stale. Neither feels urgent on the day it happens, which is exactly why both end up discovered by the FTA rather than declared to it. Put "check EmaraTax profile" on the same recurring reminder as your licence renewal and the problem disappears.

After the TRN: what actually comes next

Registration is only the entrance ticket. Then come, in order: compliant bookkeeping (records kept 7 years), a possible Small Business Relief election if revenue stays at or under AED 3M (available for tax periods ending on or before 31/12/2029), and the annual return, due — with payment — within 9 months of year-end. A 31 December 2026 year-end means 30 September 2027.

Miss those and the new-look FTA penalty regime takes over: AED 500 per month of late filing, plus 14% annual interest on unpaid tax.

Frequently asked questions

What is the corporate tax registration deadline for a new company?

Three months from the incorporation date, for any company formed since 1 March 2024 (FTA Decision No. 3 of 2024). Submitting within the window is what counts; approval can come later.

What is the penalty for late registration?

AED 10,000, applied automatically. The FTA runs a waiver initiative: the fine can be lifted if you file your first corporate tax return within 7 months of your first tax period's end, instead of the usual 9.

How long does the FTA take to issue the TRN?

Around 20 business days for a complete file. A request for additional information restarts another 20-business-day cycle after you resubmit. Plan accordingly.

Does a dormant free zone company have to register?

Yes. The obligation covers every resident juridical person, trading or not, free zone or mainland. Only the incorporation date matters.

Is corporate tax registration the same as VAT registration?

No — two separate registrations on EmaraTax, two different TRNs. VAT registration is mandatory only above AED 375,000 of taxable turnover over 12 months (voluntary from AED 187,500).

Do freelancers on their own name need to register?

Only if their UAE business turnover exceeds AED 1M in a calendar year. The deadline is then 31 March of the following year.
