Corporate Tax Deregistration in the UAE

Closing a UAE company? You have 3 months from cessation to file for corporate tax deregistration, after a final return. Amary runs the whole exit file.

4.9/5 · 154 reviews

A company that ceases its business — by liquidation, dissolution or simply stopping activity — must apply for corporate tax deregistration within 3 months of the cessation date, under FTA Decision No. 6 of 2023. The FTA will only approve it once every return is filed, including a final return for the stub period, and every dirham of tax and penalties is paid.

Registration had its famous AED 10,000 fine; deregistration is the mirror nobody briefs you on. Skip it and the company stays a taxable person on EmaraTax: filing duties continue, late-filing penalties of AED 500 per month accrue per missed return, and the file blocks the clean closure of your license. The registration deadline guide covers the way in — this page is the way out.

When the clock starts

TriggerThe 3 months run fromWatch out
Liquidation / dissolutionThe cessation of business, not the end of the liquidation paperworkWaiting for the liquidator's final certificate is usually too late

The sequence the FTA expects

  1. Final tax period. Cessation closes your tax period early: a company that stops on 31 March with a December year-end owes a return for the 3-month stub.
  2. Final return filed and paid — within the usual 9-month window, but filing early is what unlocks the deregistration.
  3. Deregistration application on EmaraTax, with the cessation evidence: liquidation resolution, license cancellation, or sale documents.
  4. FTA clearance. Several weeks in practice; longer if any return or balance is outstanding, because the application simply waits.

Done in the right order, it is one clean pass. Done in the wrong order — license cancelled first, accounting records dispersed, bank account closed before the final payment — each missing piece adds weeks.

What Amary does

We prepare the closing accounts for the stub period, file the final corporate tax return, submit the deregistration with the right evidence, and track the application until the FTA confirms. Bundled with VAT deregistration, the liquidation audit and the license cancellation when you are closing completely — one sequence, one fixed fee in writing.

Winding down a UAE entity? Tell us your cessation date and year-end: we will send back the exact filing calendar — stub period, final return, deregistration — with a fixed written fee for running all of it, within one business day.

Frequently asked questions

Is corporate tax deregistration automatic when the license is cancelled?

No. They are two separate authorities and two separate files. A cancelled license with a live tax registration keeps generating filing obligations and penalties.

What if the company never had any revenue?

The obligations are the same: registration, returns (nil if need be), and deregistration on cessation. Dormancy does not exempt — it only makes the returns simpler.

What does deregistration cost at the FTA?

There is no government fee for the application itself. The real cost is the final compliance: closing accounts, the stub-period return, and settling any balance.

Can Small Business Relief apply to the final period?

If revenue stays at or under AED 3M and the period ends on or before 31/12/2029, the election remains available for the final return — often worth real money on an exit year. We check it by default.

What happens if I miss the 3-month window?

A late-deregistration penalty accrues on a monthly basis, and every return that falls due in the meantime adds its own AED 500/month late fine. The fix is the same as for late registration: regularise fast and, where grounds exist, request a penalty reconsideration.
